Terms and Conditions

1. Prices

The company reserves the right to amend any of their prices without prior notice. Orders are accepted on condition that goods will be invoiced at prices quoted on date of order.

2. Value Added Tax
All orders for goods and services are subject to standard rate of V.A.T., on the net invoice value. Invoice date is tax point for V.A.T.

3. Payment
Where accounts have been approved for credit, payment for goods or services become due within 30 days of date of invoice unless otherwise agreed Welzh Werkzeug Limited, at its discretion, reserves the right to charge interest on any late payment from the date of invoice until the date of payment (whether before or after judgement).
Welzh Werkzeug Limited can exercise this right in addition to any other rights it may have in respect of the goods or non-payment. Should our payment terms not be honoured, we reserve the right to take action to recover all monies owing at that date whether overdue or otherwise and including any appropriate costs and interest.

4. Seller’s Retention of property
1.1 The Goods shall be at the Buyer’s risk from delivery.
1.2 In spite of delivery having been made property in the Goods shall not pass from the Seller until:
1.2.1 the buyer shall have paid the Price plus VAT in full; and
1.2.2 no further sums whatever shall be due from the Buyer to the Seller.
1.3 Until property in the goods passes to the Buyer, the Buyer shall hold the Goods and each of them on a fiduciary basis as Bailee for the seller.
1.4 The Buyer shall store the Goods (at no cost to the seller) separately from all other goods in possession and marked in such way that they are clearly identified as the Seller’s property.
1.5 Notwithstanding that the Goods (or any of them) remain the property of the Seller the Buyer may sell or use the Goods in the ordinary course of the Buyer’s business at full market value for the account of the Seller. Any such sale or dealing shall be a sale or use of the Seller’s property by the Buyer on the Buyer’s own behalf and the Buyer shall deal as principal when making such sales or dealings. Until property in the Goods passes from the Seller the entire proceeds of sale or otherwise of the Goods shall be held in trust for the Seller and shall not be mixed with other money or paid into any overdrawn bank account and shall be at all material times identified as the Seller’s money.
1.5 The Seller shall be entitled to recover the price (plus VAT) notwithstanding that property in any of the Goods has not passed from the Seller.
1.6 Until such time as property in the Goods passes from the Seller the Buyer shall upon request deliver up such of the Goods as have not ceased to be in existence or resold to the Seller. If the Buyer fails to do so the Seller may enter upon any premises owned, occupied or controlled by the Buyer where Goods are situated and repossess the Goods. On the making of such request the rights of the Buyer shall cease.
1.7 The Buyer shall not pledge or in any way charge by way of security for any indebtedness any Goods which are the property of the Seller. Without prejudice to the other rights of the Seller, if the Buyer fails to do so all sums whatever owing by the Buyer to the Seller shall forthwith become due and payable.
1.8 The Buyer shall insure and keep insured the Goods to the full Price against ‘all-risks’ to the reasonable satisfaction of the Seller until the date that property in the Goods passes from the Seller, and shall whenever requested by the Seller produce a copy of the policy of insurance. Without prejudice to the other rights of the Seller, if the Buyer fails to do so all sums whatever owing by the Buyer to the Seller shall forthwith become due and payable.
1.9 The Buyer shall promptly deliver the prescribed particulars of this contract to the Registrar in accordance with the Companies Act 1985 Part XII as amended.

5. Complaints and Claims
1.1 Complaints must be lodged within two days from the receipt of the goods. The return of goods will not be accepted unless the Seller or its representative shall first have had the opportunity of examining them and have agreed to their return.
1.2 Claims in respect of damage, shortages or damage should be advised within 2 days of receipt. Claims after this period will not be accepted. The carrier’s delivery note must be endorsed ‘received damaged / open / missing’. Non delivery must be advised in writing within 14 days of the invoice date. The buyer will be liable for payment if the above 2 conditions are not observed

6. Return of Goods
1.1 Goods can only be returned for credit if in new condition and by agreement with Welzh Werkzeug Ltd
1.2 Where goods have been supplied in accordance with the customer’s instruction returns will be subject to a handling charge of 20% of the invoice value.

7. Cancellations
1.1 Orders may not be cancelled once in transit.

8. Specifications
1.1 Every effort has been made to ensure that items in Welzh Werkzeug, branded marketing material and published current price lists are accurately specified and believed to fit the purpose described. No warranty to this effect is given and no responsibility can be accepted in the event of injury or damage arising from an error or misleading description. We reserve the right to amend designs or specifications, or discontinue lines without prior notice

9. Carriage of Goods

1.1 Carriage will be chargeable on all UK sales under £300 ex VAT. This will be at the rate of £12.50 per parcel for UK deliveries other locations will vary please contact us for our complete shipping rates, pallet rates vary. All exports sales are ex works unless other wised agreed in written

10. Guarantee
1.1 All the goods in our range are warranted to do the work for which they are designed and intended. If any goods are shown, to our reasonable satisfaction, to be defective by reason of faulty materials or workmanship whilst being used for their proper purpose they will be replaced or repaired free of charge otherwise we will credit our customers.
1.2 If returned carriage paid within 12 months of purchase. A copy of the end user sales receipt must also be enclosed for each item with full details of the specific reason for the return.
1.3 Items that show fair wear and tear or damage through misuse are not product faults and will not be considered for replacement or credit. Stockists are not authorised to replace goods from stock and we remind stockists to assess the condition of the product before applying for a replacement or credit.
1.4 No liability is accepted for any claims for materials or consequential losses. Cutting Tools and Cutting edges for example, drill bits, hacksaw blades and chisels are classed as consumable. Other products in our range are also classed as consumable please contact us for our complete list of these products.
1.5 Our guarantee extends only to those component parts found to be faulty and not to complete sets.
